Yiluda Patient App

These Terms outline the conditions governing your use of our App and our Services (as applicable).

By using the App and/or the Services, you acknowledge and agree that you shall be bound by: (i) these Terms; (ii) our Privacy Policy; and (iii) our relevant guidelines (as may be published from time to time), which together form an agreement between you and YLD that is effective and legally binding as if you had signed it. 

IF YOU DO NOT AGREE WITH THESE TERMS AND/OR OUR PRIVACY POLICY (OR ANY PART THEREOF), PLEASE DO NOT INSTALL THE APP AND/OR  DELETE THE APP, OR OTHERWISE DISCONTINUE OR SUSPEND YOUR USE OF THE APP AND/OR THE SERVICES.

  1. Introduction

YLD operates a technology platform that connects Patients with Practitioners and empowers Patients to search for and book appointments with Practitioners, access records electronically, and manage their healthcare journey through technology.

  1. Definitions
  1. In these Terms, the following definitions and rules of interpretation apply, unless otherwise defined or the context requires otherwise:

“App”

The mobile application(s) supplied by YLD and downloaded and installed by you on your mobile device, our website(s), and any other online and offline channel(s) supplied by us which allows you to obtain or access the Services.

“Hong Kong”

Hong Kong Special Administrative Region of the People’s Republic of China.

"Patient"

Refers to a registered user of the App who is seeking the services of a Practitioner through the App and/or the Services.

"Practitioner" 

Refers to a licensed Chinese medicine practitioner, whose services are offered and may be requested through the App, or otherwise arranged by us as part of our Services.

“Privacy Policy”

The latest version of YLD’s privacy policy, which is available at here.

“Relevant Law(s)”

Any and all applicable laws and regulations in Hong Kong from time to time relevant to your use of the App and/or the Services.

"Services" 

Refers to the provision of the App itself and its functionalities, including the facilitation services provided by us to you through the App, as further detailed in these Terms. For the avoidance of doubt, consultations, diagnoses, prescriptions, and any other related services of a medical nature facilitated through the App but actually provided by Practitioners shall not be considered services provided by YLD.

“Terms”

These terms and conditions, which may be amended and supplemented by us from time to time.

"YLD", “we”, “us”, or “our”

Yiluda Traditional Chinese Medicine (International Limited), the operator of the App.

  1. Headings are for convenience only, and do not affect interpretation. The singular includes the plural, and the masculine shall include the feminine and neuter, and vice versa. Mentioning anything after includes, including, for example, or any similar expression, does not limit what else might be included.

  2. A reference to a person, corporation, partnership, unincorporated body, or other entity, includes any of them

  1. Eligibility

You acknowledge and represent that:

  1. You are at least 18 years old, or if you are under 18, you have obtained consent from a parent or guardian who will supervise your use of the App and/or Services;

  2. You reside in Hong Kong; and

  3. You will provide, or have provided, accurate and truthful information to us.

  1. User Account Creation, Closure and Responsibilities
  1. To use the App and/or Services, you must create an account by providing your mobile number, email address, and password. You may also be required to provide certain payment information such as credit card details and/or relevant personal information.

  2. You are responsible for providing accurate and up-to-date personal and medical information. Any false or incomplete information may impact the your App user experience and/or the Services provided.

  3. You are responsible for maintaining the confidentiality of your login credentials and are liable for any activity carried out using your account, whether authorized or not. 

  4. If you suspect unauthorized access to your account, you must notify YLD immediately.

  5. You may request the closure of your account at any time.

  1. License of the App and Intellectual Property
  1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, revocable and non-transferable licence to download, install, access, and/or use the App on your mobile device, computer, or otherwise to run such copy of the App solely for your own use.

  2. You acknowledge and agree that our licence and your use of the App grants you no rights in relation to any of our intellectual property rights (including, without limitation, copyright, trademarks, logos, graphics, photographs, animations, videos, texts, or rights in and to the App) or any other intellectual property not owned by us but otherwise accessible through the App, other than the non-exclusive, revocable, and non-transferable licence in accordance with these Terms.

  3. The licence we grant you does not entitle you to, and you must not:

    1. Licence, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Services or the App in any way;

    2. Modify or make derivative works based upon the Services or the App in any way;

    3. Create links or interfaces (such as application programming interfaces) to the App or otherwise mirror the App;

    4. Access the App in order to:

      1. Reverse engineer the App;

      2. Design or build a competitive product or service;

      3. Design or build a product or service using similar ideas; or

      4. Copy any ideas, features, functions, graphics, or other intellectual property of the Services or the App.

  4. All content and intellectual property associated with the App, including software, logos, and trademarks, are owned by YLD. You may not copy, modify, or distribute any content without prior permission.

  5. Any content that you upload to the App (e.g., profile details, medical details) remains your property, but you grant YLD a license to use it for operational purposes.

  1. Our Services
  1. Our Services primarily involve the provision of the App and its functionalities. We offer a technology platform that facilitates your request for Traditional Chinese Medicine services offered by Practitioners which may include, but are not limited to:

    1. Providing the means for you to manage appointments and schedules with Practitioners;

    2. Providing the means for you to manage your electronic health records;

    3. Enabling or facilitating your receipt of telehealth consultations;

    4. Facilitating your purchase of Chinese medicine; and

    5. Arranging the delivery of Chinese medicine you have purchased. 

  2. You acknowledge and agree that, in providing you with the Services:

    1. We act only as an intermediary between you and Practitioners;

    2. We are not your agent or any Practitioner’s agent (except as otherwise stipulated under these Terms);

    3. We are not a medical service provider and do not provide any medical services;

    4. We are not responsible for the behaviour, negligence, conduct, actions (or inactions) on the part of you or a Practitioner;

    5. Information about Practitioners displayed in the App are based on information provided by the Practitioners themselves and YLD does not guarantee the truth or accuracy of such information; 

    6. YLD does not guarantee the availability or performance of any Practitioner;

    7. Any contract for the provision of medical service is between you and the Practitioner exclusively, and not us;

    8. We only facilitate, or assist in arranging your access to, certain underlying services performed by independent third parties (such as the dispensing of Chinese medicine by Chinese medicine manufacturers or retailers or the delivery of Chinese medicine by logistics providers), and YLD does not actually provide those services and shall in no way be responsible for the quality, safety, accuracy, or legality of those underlying services. Any agreement, transactions, or engagements related to such underlying services shall be between you and the respective Supplier only. Such underlying services may be subject to separate terms and conditions, as applicable;

    9. These Terms and the Privacy Policy and any relevant guidelines are the only contract between you and YLD; and

    10. If there is any dispute in relation to the medical services provided by the Practitioner,  or in relation to any underlying services actually performed by independent third-parties, then that dispute must be taken up by you with the relevant Practitioner and/or independent third-party directly.

  3. We may provide certain value-added services to you. All value-added services may be subject to separate terms and conditions, as applicable.

  4. YOU ACKNOWLEDGE AND AGREE, WHERE APPLICABLE, TO IRREVOCABLY AUTHORISE AND APPOINT YLD AS YOUR ARRANGEMENT AGENT TO PURCHASE CHINESE MEDICINE ON YOUR BEHALF FROM THE RELEVANT INDEPENDENT THIRD PARTY CHINESE MEDICINE MANUFACTURER OR RETAILER.

  1. Use of the App and/or Services
  1. Your use and access to the App and/or the Services is conditional, among other things, upon you having created an account with us and providing us with accurate and up-to-date information.

  2. You represent, warrant, undertake, acknowledge, and agree:

    1. To comply with all Relevant Laws while using the App and/or the Services, and that it shall be your sole responsibility to ensure that your use of the App and/or the Services is in compliance with Relevant Laws;

    2. That any use of the App and/or the Services not in compliance with Relevant Laws by you shall not be construed to be authorized, agreed, permitted, solicited, or otherwise endorsed by us, and that we are entitled to disclaim all liabilities arising from or relating to your use of the App and/or Services which is not in compliance with Relevant Laws;

    3. To provide us with all information (including any proof of identity) that are true, accurate, complete, and up-to-date, as we may reasonably request in order to ensure your continued access to the App and/or Services;

    4. That we will not be liable for anything suffered as a result of any false, incomplete, out-of-date or incorrect information provided by you to us;

    5. That you will only use the App and/or Services for lawful purposes;

    6. To treat Practitioners, the Practitioner’s staff and our staff (including but not limited to any person in our customer service team) with courtesy and respect, and not to cause damage, or exhibit threatening, harassing, or abusive behaviour towards Practitioners, the Practitioner’s staff, and our staff under any circumstance;

    7. To ensure that you will turn up to scheduled appointments.

  3. You are prohibited from:

    1. Misrepresenting your identity or medical condition;

    2. Attempting to gain unauthorized access to the App or disrupt, damage, or impair the provision of the Services or the App’s operation, or to otherwise rendering them less efficient or unlawful; 

    3. Using any automated program or script (including, but not limited to, web crawlers, web indexers, bots, viruses, or worms, or any program capable of making multiple server requests simultaneously), that may unduly burden or hinder the operation and/or performance of the App and/or the Services;

    4. Data mine YLD’s information, trade secrets, or information related to the App and/or the Services, unless an exemption applies under Relevant Laws;

    5. Using the platform for any illegal or unethical purpose, such as:

      1. To access or attempt to access user accounts of other users or Practitioners;

      2. To reverse look-up, trace, or seek to trace any information of any user of our App or our Services (other than for yourself);

    6. Using the App and/or the Services other than for its intended purposes;

    7. To advertise or promote any third party products and/or services (including your own), except with our prior written consent;

    8. Causing nuisance, annoyance, or inconvenience to others;

    9. Engaging in any other unlawful activities, such as the commission of fraud or to defraud others;

    10. Engaging in any other conduct which we may, in our sole discretion, deem to be capable of damaging our reputation.

  4. YLD reserves the right to suspend, restrict, or terminate your access to your account, the App, and/or Services at any time with or without notice to you and without any liability on our part (which, for the avoidance of doubt, shall not limit our right to take further action against you that we may in our absolute discretion consider appropriate to defend our rights or those of any other person) if:

    1. You have violated or we have reasonable grounds to believes you have violated these Terms;

    2. You have, in our opinion, misused or otherwise abused the App and/or the Services (for example, making repeated unreasonable complaints, mistreating our staff, any Practitioner, or any Practitioner’s staff); or

    3. You fail to settle any fees payable. 

  1. Special Consent to Telehealth Services
  1. Telehealth services involves the delivery of healthcare services using electronic communications, information technology, or other means between a Practitioner and a Patient where they are not in the same physical location. Telehealth services may be used for diagnosis, treatment, follow-up and/or related patient education, and may include, but is not limited to:

    1. Electronic transmission of medical records, photo images, personal health information, or other data between a patient and health care provider;

    2. Interactions between a patient and health care provider via audio, video, and/or data communications; and

    3. Use of output data from medical devices, sound, and video files.

  2. By accepting these Terms, you acknowledge your understanding and agreement to the following:

    1. Any medical care or treatment provided by a Practitioner is between you and the Practitioner only, to the exclusion of YLD;

    2. That you understand the risks and benefits of the use of telehealth services in the medical care and treatment provided to you by the Practitioner;

    3. That you give your informed consent to the use and receipt of telehealth services;

    4. That the delivery of healthcare services via telehealth services is an evolving field and that the use of telehealth services in your medical care and treatment may include uses of technology not specifically described in these Terms;

    5. That you understand that while the use of telehealth services may provide potential benefits to you, as with any medical care service, no such benefits or specific results can be guaranteed. Your condition may not be cured or improved, and in some cases, may get worse;

    6. That you understand that Practitioners may determine in his or her sole discretion that your condition is not suitable for treatment using telehealth services, and that you may need to seek medical care and treatment in-person or from an alternative source, and that YLD shall not be liable for any decisions made by Practitioners regarding the suitability of telehealth services for your condition;

    7. That you agree to allow your Practitioner to share information regarding the telehealth services examination or consultation with other individuals for treatment, payment and/or health care operations purposes, at their sole discretion; and

    8. That you agree and authorize your Practitioner to release information regarding the telehealth services examination or consultation to us and our affiliates.  

  1. Fees and Refunds
  1. It is generally free to use the App, but the use of certain Services maybe chargeable. Details of our latest fees shall be separately agreed with you in writing or otherwise displayed in the App. Our fees may be amended or updated at our sole discretion from time to time without prior notice, and shall become effective immediately upon posting. Your continued access or use of the App and/or the Services constitutes your acceptance of, and your consent to be bound by, the amended fees.

  2. You are required to pay certain fees for the medical services obtained through our App and/or through our Services, which may include, as applicable:

    1. Consultation Fees: If you arrange a consultation with a Practitioner through the App, you will be required to pay for such consultation. Such consultation fees are determined by Practitioners and may be displayed in the App or otherwise confirmed in writing with you; or

    2. Additional Fees: Post-consultation fees may apply for accessing additional diagnostic procedures or for the purchase of medication. Such additional fees may be determined by Practitioners or independent third-party service providers (such as dispensaries of the relevant medication).

  3. Unless otherwise agreed by us, all fees for the use of the App and/or the Services are due and payable immediately at the time of any applicable service request, and are non-refundable. 

  4. You agree to promptly settle all fees payable by you to us or Practitioners, as applicable;

  5. Fees for medical services obtained through our App and/or through our Services may or may not be refundable, depending on the relevant policy of each Practitioner, as applicable. 

  6. YOU ACKNOWLEDGE AND AGREE, WHERE APPLICABLE, TO IRREVOCABLY AUTHORISE AND APPOINT YLD AS YOUR COLLECTION AND/OR PAYING AGENT TO COLLECT AND/OR PAY ANY FEES DUE OR PAYABLE BY YOU TO THE RELEVANT PERSON (INCLUDING YLD).

  7. You can pay and/or settle the fees for the App and/or our Services through non-cash payment methods made available to you on the App, or such other method otherwise agreed with you in writing. Non-cash payment methods may be subject to the respective terms and conditions of the relevant payment service providers, as applicable, and you acknowledge and agree to abide by those terms and conditions. If any specified non-cash payment channel becomes disrupted or otherwise unavailable, you acknowledge and agree that you remain liable to settle any outstanding fees and you shall settle the relevant amount as soon as possible through such available channels.

  1. Promotions
  1. YLD may from time to time offer promotions through the App or otherwise. Such promotions may be offered or provided through the use of our technology in an autonomous manner. We reserve the right to amend, suspend, withdraw or terminate, whether in whole or in part, any and all such promotions without prior notice and at our absolute discretion.  

  2. Your use of the App and/or the Services where a promotion applies, shall constitute your consent and acceptance to such promotions and their applicable terms. If you do not agree with any promotion or its terms, please discontinue your use of the App and/or the relevant Services while the relevant promotion is in effect.

  1. Third Party Interactions
  1. During your use of the App and/or the Services, our App or our Services may enable or allow you to correspond or transact with third parties that display or offer their goods or services through our App and/or our Services. Such goods or services may be subject to additional terms, conditions, warranties, or representations.

  2. Such correspondence and/transactions may be offered through advertisements, links, websites, and gateways that are made available on our App and/or our Services. You acknowledge and agree that any correspondence or transaction with such third parties or through such third party channels are provided solely for your convenience and are strictly interactions between you and the applicable third party. YLD does not in any way endorse the quality, content, or suitability of the relevant goods and services and YLD shall have no liability, obligation, or responsibility for such correspondence, transaction, or agreement with third parties. 

  3. YLD shall not be responsible for any third party goods or services or the content or accuracy of any advertisements, links, websites, and gateways made available on our App and/or our Services.

  1. Indemnification
  1. By accepting these Terms and using the App and/or the Services, you agree and undertake that you shall, on demand, defend, indemnify, and hold us, our affiliates, our licensors, our licensees, and each of our and their respective officers, directors, other users, employees, attorneys and agents (together, the “Indemnified Parties”) harmless from and against any and all litigations, actions, writs, suits, claims, legal proceedings, demands, judgements, awards, costs, damages, losses, liabilities, charges, fees, and expenses (including, without limitation, all payments, attorneys’ fees and costs), and all expenses arising out of or in connection with the investigation, response to, defence, compromise or settlement of, or the enforcement of any settlement, judgement, or compromise obtained with respect to such proceedings arising out of, in connection with, brought or threatened or alleged to be brought against, or otherwise involve any Indemnified Party, as a result of:

    1. Your violation or breach of any term of these Terms;

    2. Your violation of any Relevant Laws;

    3. Your violation of any rights of any party;

    4. Your use or misuse of the App and/or the Services.

  1. Liability and Disclaimer
  1. As-is basis: Our App and the Services are provided to you on an “as is” basis. All implied conditions, representations, warranties (including any implied warranties as to fitness for purpose or merchantability) are excluded to the extent permissible by Relevant Laws.

  2. YLD’s Role: YLD is a facilitator and does not provide medical services. Practitioners are independent professionals responsible for the services they provide. Practitioners are solely responsible for the quality, accuracy, and legality of the services they provide to you. YLD does not supervise or control the medical decisions or advice that Practitioners offer. The fact that YLD may assist you in the process of obtaining the services of Practitioners shall not under any circumstances be construed as YLD providing such services, or any assumption of liability by us.

  3. YLD’s Liability: Unless otherwise agreed by us in writing, YLD does not accept any liability in relation to, nor does YLD warrant, represent, or guarantee that:

    1. The App is compatible with, or operational on, your computer, mobile device, or other methods of access;

    2. The App or our Services meet your requirements or expectations;

    3. Our App (including its content) or Services are free of errors, defects, malware, viruses, other harmful components or technical issues;

    4. The App (including its content) or Services are correct, up to date, and accurate

    5. Any information or data stored or accessible in the App or otherwise provided as part of the Services will be fully accurate, reliable, or free of error;

    6. The quality, suitability, availability, timeliness, completeness, effectiveness of the Services or the services provided by Practitioners, including whether such services are risk-free, and any loss or damage resulting from the Services or a Practitioner’s services or advice, or the decisions, actions, or inactions of Practitioners, including any determination that a patient is not suitable for telehealth services, or medical advice, treatment, or care provided by Practitioners.

  4. No Medical Advice: The App and/or the Services does not provide medical advice, diagnoses, or treatment. All medical service and decisions are made solely by the Practitioner.

  5. Practitioner Responsibility: Practitioners are solely responsible for the quality, accuracy, and legality of the services they provide, including any delays, cancellations, or errors caused by Practitioners.

  6. Limitation of Liability: The use of the App and/or the Services is at your sole risk. To the fullest extent permitted by Relevant Laws and unless otherwise agreed by us in writing, YLD shall not be liable for any damages resulting from or in connection with the use of (or in ability to use) the App and/or the Services, including but not limited to any consequential, indirect, or incidental damages or any loss of profit or damages. Without prejudice to the foregoing and insofar as permitted under Relevant laws and unless otherwise agreed with you in writing, YLD's aggregate liability shall in no event exceed the aggregate amount of fees paid by and/or due from the Patient to YLD for the App and/or Services which directly gave rise to any such liability, or any amount recoverable by us pursuant to any relevant insurance policies maintained by us (if any).

  1. Data Privacy
  1. In order to provide you with the Services through the App, YLD collects personal and medical data to facilitate consultations and improve services. This data is generally shared with Practitioners for the purpose of providing medical services.

  2. The collection, use, storage, processing, and transfer of your data are subject to the Privacy Policy (as may be amended and updated from time to time at our sole discretion), and is incorporated by reference into these Terms.

  1. Communication
  1. Notifications: You acknowledge and agree that YLD may send appointment confirmations, reminders, and updates via the App, SMS, or email to you.

  2. Marketing Communication: You may receive promotional messages unless you opt out through the App settings.

  1. Governing Law and Dispute Resolution
  1. These Terms are governed by and construed in accordance with the laws of Hong Kong.

  2. Any disputes, actions, claims or causes of action arising out of or in connection with these Terms, the App, or our Services shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be in Hong Kong, and the number of arbitrators shall be one. The arbitration proceedings may be conducted in English or Chinese (Mandarin or Cantonese).

  1. Severability
  1. If any provision under these Terms is held to be void, invalid, illegal, or unenforceable in any respect under any Relevant Laws, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired and shall continue in full force and effect.

  1. Amendment of Terms and Services
  1. Unless otherwise agreed in writing by us, YLD may, at its sole discretion, amend or update these Terms at any time by posting the updated Terms. Changes will automatically be effective upon posting, and may or may not be communicated. Continued use of the App after changes are made constitutes acceptance of the revised Terms.

  2. Unless otherwise agreed in writing by us, YLD may, at its sole discretion, modify, change, suspend, or discontinue the App and/or the Services, or impose limits on certain features or restrict your access to part or all of the App and/or the Services, without prior notice and without incurring any liability.

  3. You acknowledge and agree that it is your responsibility to review these Terms regularly and the continued use of the App and/or the Services after any amendment, whether or not reviewed by you, shall constitute your consent and acceptance to such changes.

  1. Assignment
  1. You may not assign or transfer any of your rights or obligations under these Terms to any person without our prior written approval. 

  2. YLD may assign and transfer any of our rights and obligations under these Terms to any party and will notify you of such assignment or transfer, if applicable. In the case of any transfer by YLD, we warrant that your rights under these Terms shall be maintained by the assignee.

  3. You have the right to terminate your use of the App and/or our Services if you do not agree with an assignment by us. The continued use of the App and/or our Services after any assignment by us shall constitute your consent and acceptance of such assignment.

  1. Termination
  1. By the Patient: You may delete your account at any time.

  2. By YLD: YLD reserves the right to terminate or suspend your account for non-compliance with these Terms or misuse of the App.

  3. Survival of Terms: Terms related to liability, governing law, and data privacy will survive account termination.

  1. Language

These Terms may be translated into a language other than the English language. Any such translation is provided solely for your convenience. In the event of inconsistency or ambiguity, the English text will prevail.

“CMCHK”

"Patient"

Refers to a registered user of the App who is seeking the services of a Practitioner through the App and/or the Services.

"Practitioner" 

Refers to a licensed Chinese medicine practitioner, whose services are offered and may be requested through the App, or otherwise arranged by us as part of our Services.

“Privacy Policy”

The latest version of YLD’s privacy policy, which is available at here.

“Relevant Law(s)”

Any and all applicable laws and regulations in Hong Kong from time to time relevant to your use of the App and/or the Services, and in the context of your practice as a Practitioner, shall include the Chinese Medicine Ordinance (Cap. 549) and such practice rules or guidelines issued by CMCHK from time to time.

"Services" 

Refers to the provision of the App itself and its functionalities, including the facilitation services provided by us to you through the App, as further detailed in these Terms. For the avoidance of doubt, consultations, diagnoses, prescriptions, and any other related services of a medical nature facilitated through the App but actually provided by you as a Practitioner shall not be considered services provided by YLD.

“Terms”

These terms and conditions, which may be amended and supplemented by us from time to time.

"YLD", “we”, “us”, or “our”

Yiluda Traditional Chinese Medicine (International Limited), the operator of the App.

  1. Headings are for convenience only, and do not affect interpretation. The singular includes the plural, and the masculine shall include the feminine and neuter, and vice versa. Mentioning anything after includes, including, for example, or any similar expression, does not limit what else might be included.

  2. A reference to a person, corporation, partnership, unincorporated body, or other entity, includes any of them.

  1. Eligibility

You acknowledge and represent that:

  1. You hold a valid license or qualification as a Chinese medicine practitioner under the Chinese Medicine Ordinance (Cap. 549) by the CMCHK;

  2. You reside in Hong Kong;

  3. You will provide, or have provided, accurate and up-to-date professional details, including your registration number, certifications, and areas of specialization; and

  4. You agree and authorise YLD to verify your professional details, including any relevant qualifications with the CMCHK or other professional bodies.

  1. Account Creation and Responsibilities
  1. To use the App and/or the Services, you must create an account by providing your mobile number, email address, and password. You will also be asked to provide relevant professional details, such as your licence or qualification as a Chinese medicine practitioner. You may be asked to provide relevant documentation for verification.

  2. All Practitioners must be verified by YLD before being approved. You acknowledge and authorise YLD to take reasonable steps to verify any information provided, including but not limited to:

    1. Cross-check your license or qualification with the CMCHK or equivalent professional bodies;

    2. Request to check the physical copy of any uploaded or provided certificates or documents;

    3. Reach out to academic institutions or professional bodies to seek confirmation of any of your stated credentials.

  3. You are responsible for providing accurate and up-to-date information during registration. Provision of any false information may result in account suspension or termination of your access to the App and/or the Services.

  4. You are responsible for maintaining the confidentiality of your login credentials and are liable for any activity carried out using your account, whether authorized or not.

  5. If you suspect unauthorised access to your account, you must notify YLD immediately.

  6. You may request the closure of your account at any time.

  1. License of the App and Intellectual Property
  1. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, revocable and non-transferable licence to download, install, access, and/or use the App on your mobile device, computer, or otherwise to run such copy of the App solely for your own use.

  2. You acknowledge and agree that our licence and your use of the App grants you no rights in relation to any of our intellectual property rights (including, without limitation, copyright, trademarks, logos, graphics, photographs, animations, videos, texts, or rights in and to the App) or any other intellectual property not owned by us but otherwise accessible through the App, other than the non-exclusive, revocable, and non-transferable licence in accordance with these Terms.

  3. The licence we grant you does not entitle you to, and you must not:

    1. Licence, sublicense, sell, resell, transfer, assign, distribute, or otherwise commercially exploit or make available to any third party the Services or the App in any way;

    2. Modify or make derivative works based upon the Services or the App in any way;

    3. Create links or interfaces (such as application programming interfaces) to the App or otherwise mirror the App;

    4. Access the App in order to:

      1. Reverse engineer the App;

      2. Design or build a competitive product or service;

      3. Design or build a product or service using similar ideas; or

      4. Copy any ideas, features, functions, graphics, or other intellectual property of the Services or the App.

  4. All content and intellectual property associated with the App, including software, logos, and trademarks, are owned by YLD. You may not copy, modify, or distribute any content without prior permission.

  5. Any content that you uploaded to the App (e.g., profile details, certifications) remains your property, but you grant YLD a license to use it for operational purposes.

  1. Our Services
  1. Our Services primarily involve the provision of the App and its functionalities. We offer a technology platform that facilitates a Patient’s request for Traditional Chinese Medicine services offered by you as a Practitioner which may include, but are not limited to:

    1. Providing the means for you to manage appointments, schedules, and availability with Patients;

    2. Providing the means for you to manage Patients’ electronic health records;

    3. Providing the means for you to manage your record of diagnosis;

    4. Enabling or facilitating your provision of telehealth consultations as a Practitioner;

    5. Facilitating your purchase of Chinese medicine; and

    6. Arrangement of delivery of Chinese medicine you have purchased.

  2. You acknowledge and agree that, in providing you with the Services:

    1. We act only as an intermediary between you and Patients;

    2. We are not your agent or the Patient’s agent (except as otherwise stipulated under these Terms);

    3. We are not a medical service provider and do not provide any medical services;

    4. We are not responsible for the behaviour, negligence, conduct, actions (or inactions) on the part of a Patient or you as a Practitioner;

    5. Information about Patients displayed in the App are based on information provided by the Patients themselves and YLD does not guarantee the truth or accuracy of such information;

    6. YLD does not guarantee that any Patients who have made booking requests with you will actually turn up for consultation;

    7. Any contract for the provision of medical service is between you and the Patient exclusively, and not us;

    8. We only facilitate, or assist in arranging your access to, certain underlying services performed by independent third parties (such as the dispensing of Chinese medicine by Chinese medicine manufacturers or retailers or the delivery of Chinese medicine by logistics providers), and YLD does not actually provide those services and shall in no way be responsible for the quality, safety, accuracy, or legality of those underlying services. Any agreement, transactions, or engagements related to such underlying services shall be between you and the respective Supplier only. Such underlying services may be subject to separate terms and conditions, as applicable;

    9. These Terms and the Privacy Policy and any relevant guidelines are the only contract between you and YLD; and

    10. If there is any dispute in relation to the medical services provided by you as the Practitioner, or in relation to any underlying services actually performed by independent third-parties, then that dispute must be taken up by you with the relevant Patient and/or independent third-party directly.

  3. We may provide certain value-added services to you. All value-added services may be subject to separate terms and conditions, as applicable.

  4. YOU ACKNOWLEDGE AND AGREE, WHERE APPLICABLE, TO IRREVOCABLY AUTHORISE AND APPOINT YLD AS YOUR ARRANGEMENT AGENT TO PURCHASE CHINESE MEDICINE ON YOUR BEHALF FROM THE RELEVANT INDEPENDENT THIRD PARTY CHINESE MEDICINE MANUFACTURER OR RETAILER.

  1. Use of the App and/or Services
  1. Your use and access to the App and/or the Services is conditional, among other things, upon you having created an account with us and providing us with accurate and up-to-date information.

  2. You represent, warrant, undertake, acknowledge, and agree:

    1. To comply with all Relevant Laws while using the App and/or the Services, and that it shall be your sole responsibility to ensure that your use of the App and/or the Services is in compliance with Relevant Laws;

    2. That any use of the App and/or the Services not in compliance with Relevant Laws by you shall not be construed to be authorized, agreed, permitted, solicited, or otherwise endorsed by us, and that we are entitled to disclaim all liabilities arising from or relating to your use of the App and/or Services which is not in compliance with Relevant Laws;

    3. To provide us with all information (including any proof of identity) that are true, accurate, complete, and up-to-date, as we may reasonably request in order to ensure your continued access to the App and/or Services;

    4. That we will not be liable for anything suffered as a result of any false, incomplete, out-of-date or incorrect information provided by you to us;

    5. That you will only use the App and/or Services for lawful purposes;

    6. To treat Patients and our staff (including but not limited to any person in our customer service team) with courtesy and respect, and not to cause damage, or exhibit threatening, harassing, or abusive behaviour towards a Patient or our staff under any circumstance;

    7. That you will deliver accurate diagnoses, prescriptions, and treatment recommendations in accordance with your professional knowledge and standards, and in compliance with all Relevant Laws, regulations, and guidelines relevant to your practice;

    8. To ensure that you are available for scheduled appointments and provide post-consultation deliverables (e.g., diagnoses, prescriptions) within the agreed timeframe; and

    9. Protect patient data and only use it for the purposes of providing your services as a Practitioner.

  3. You are prohibited from:

    1. Misrepresenting your identity or medical qualification;

    2. Attempting to gain unauthorized access to the App or disrupt, damage, or impair the provision of the Services or the App’s operation, or to otherwise rendering them less efficient or unlawful; 

    3. Using any automated program or script (including, but not limited to, web crawlers, web indexers, bots, viruses, or worms, or any program capable of making multiple server requests simultaneously), that may unduly burden or hinder the operation and/or performance of the App and/or the Services;

    4. Data mine YLD’s information, trade secrets, or information related to the App and/or the Services, unless an exemption applies under Relevant Laws;

    5. Using the platform for any illegal or unethical purpose, such as:

      1. To access or attempt to access user accounts of Patients or other Practitioners;

      2. To reverse look-up, trace, or seek to trace any information of any user of our App or our Services (other than for yourself), including violating the privacy of any Patient or misusing Patient data;

    6. Using the App and/or the Services other than for its intended purposes;

    7. To advertise or promote any third party products and/or services (including your own), except with our prior written consent;

    8. Causing nuisance, annoyance, or inconvenience to others;

    9. Engaging in any other unlawful activities, such as the commission of fraud or to defraud others;

    10. Engaging in any conduct which is unprofessional or unethical;

    11. Engaging in any other conduct which we may, in our sole discretion, deem to be capable of damaging our reputation.

  4. YLD reserves the right to suspend, restrict, or terminate your access to your account, the App, and/or Services at any time with or without notice to you and without any liability on our part (which, for the avoidance of doubt, shall not limit our right to take further action against you that we may in our absolute discretion consider appropriate to defend our rights or those of any other person) if:

    1. you have violated or we have reasonable grounds to believe you have violated these Terms;

    2. You have, in our opinion, misused or otherwise abused the App and/or the Services (for example, making repeated unreasonable complaints, mistreating our staff, or any Patient); or

    3. You fail to settle any fees payable.

  1. Special Consent to Telehealth Services
  1. Telehealth services involves the delivery of healthcare services using electronic communications, information technology, or other means between a Practitioner and a Patient where they are not in the same physical location. Telehealth services may be used for diagnosis, treatment, follow-up and/or related patient education, and may include, but is not limited to:

    1. Electronic transmission of medical records, photo images, personal health information, or other data between a patient and health care provider;

    2. Interactions between a patient and health care provider via audio, video, and/or data communications; and

    3. Use of output data from medical devices, sound, and video files.

  2. By accepting these Terms, you acknowledge your understanding and agreement to the following:

    1. Any medical care or treatment provided by a you is between you and the Patient only, to the exclusion of YLD;

    2. That you understand the risks and benefits of the use of telehealth services in the medical care and treatment provided by you to the Patient;

    3. That you give your informed consent to the provision of telehealth services;

    4. That the delivery of healthcare services via telehealth services is an evolving field and that the use of telehealth services in the Patient’s medical care and treatment may include uses of technology not specifically described in these Terms;

    5. That you understand that you may determine in your sole discretion that the Patient’s condition is not suitable for treatment using telehealth services, and that you will ask a Patient to seek medical care and treatment in-person or from an alternative source, if the situation requires you to so direct the Patient, and that YLD shall not be liable for any decisions made by you regarding the suitability of telehealth services for the Patient’s condition;

    6. That you agree to release information regarding the telehealth services examination or consultation to us and our affiliates.

  1. Fees and Refunds
  1. It is generally free to use the App, but the use of certain Services maybe chargeable. Details of our latest fees shall be separately agreed with you in writing. Our fees may be amended or updated at our sole discretion from time to time without prior notice, and shall become effective immediately upon posting. Your continued access or use of the App and/or the Services constitutes your acceptance of, and your consent to be bound by, the amended fees.

  2. You are required to pay certain fees for the services obtained through our App and/or through our Services, which may include, as applicable:

    1. Referral Fee for Consultations: If we arrange a consultation with a Patient through the App, you will be required to pay for such referral. Such referral fees are determined by us and may be displayed in the App or otherwise confirmed in writing with you.

    2. Additional Fees: Post-consultation fees may apply for accessing additional diagnostic procedures or for the purchase of medication. Such additional fees may be determined by Practitioners or independent third-party service providers (such as dispensaries of the relevant medication)

  3. Unless otherwise agreed by us, all fees for the use of the App and/or the Services are due and payable immediately at the time of any applicable service request, and are non-refundable. 

  4. You agree to promptly settle all fees payable by you to us, as applicable;

  5. YOU ACKNOWLEDGE AND AGREE, WHERE APPLICABLE, TO IRREVOCABLY AUTHORISE AND APPOINT YLD AS YOUR COLLECTION AND/OR PAYING AGENT TO COLLECT AND/OR PAY ANY FEES DUE OR PAYABLE BY YOU TO THE RELEVANT PERSON (INCLUDING YLD).

  6. You can pay and/or settle the fees for the App and/or our Services through non-cash payment methods made available to you on the App, or such other method otherwise agreed with you in writing. Non-cash payment methods may be subject to the respective terms and conditions of the relevant payment service providers, as applicable, and you acknowledge and agree to abide by those terms and conditions. If any specified non-cash payment channel becomes disrupted or otherwise unavailable, you acknowledge and agree that you remain liable to settle any outstanding fees and you shall settle the relevant amount as soon as possible through such available channels.

  1. Promotions
  1. YLD may from time to time offer promotions through the App or otherwise. Such promotions may be offered or provided through the use of our technology in an autonomous manner. We reserve the right to amend, suspend, withdraw or terminate, whether in whole or in part, any and all such promotions without prior notice and at our absolute discretion.  

  2. Your use of the App and/or the Services where a promotion applies, shall constitute your consent and acceptance to such promotions and their applicable terms. If you do not agree with any promotion or its terms, please discontinue your use of the App and/or the relevant Services while the relevant promotion is in effect.

  1. Third Party Interactions
  1. During your use of the App and/or the Services, our App or our Services may enable or allow you to correspond or transact with third parties that display or offer their goods or services through our App and/or our Services. Such goods or services may be subject to additional terms, conditions, warranties, or representations.

  2. Such correspondence and/transactions may be offered through advertisements, links, websites, and gateways that are made available on our App and/or our Services. You acknowledge and agree that any correspondence or transaction with such third parties or through such third party channels are provided solely for your convenience and are strictly interactions between you and the applicable third party. YLD does not in any way endorse the quality, content, or suitability of the relevant goods and services and YLD shall have no liability, obligation, or responsibility for such correspondence, transaction, or agreement with third parties. 

  3. YLD shall not be responsible for any third party goods or services or the content or accuracy of any advertisements, links, websites, and gateways made available on our App and/or our Services.

  1. Indemnification
  1. By accepting these Terms and using the App and/or the Services, you agree and undertake that you shall, on demand, defend, indemnify, and hold us, our affiliates, our licensors, our licensees, and each of our and their respective officers, directors, other users, employees, attorneys and agents (together, the “Indemnified Parties”) harmless from and against any and all litigations, actions, writs, suits, claims, legal proceedings, demands, judgements, awards, costs, damages, losses, liabilities, charges, fees, and expenses (including, without limitation, all payments, attorneys’ fees and costs), and all expenses arising out of or in connection with the investigation, response to, defence, compromise or settlement of, or the enforcement of any settlement, judgement, or compromise obtained with respect to such proceedings arising out of, in connection with, brought or threatened or alleged to be brought against, or otherwise involve any Indemnified Party, as a result of:

    1. Your violation or breach of any term of these Terms;

    2. Your violation of any Relevant Laws;

    3. Your violation of any rights of any party;

    4. Your use or misuse of the App and/or the Services.

  1. Liability and Disclaimer
  1. As-is basis: Our App and the Services are provided to you on an “as is” basis. All implied conditions, representations, warranties (including any implied warranties as to fitness for purpose or merchantability) are excluded to the extent permissible by Relevant Laws.

  2. YLD’s Role: YLD is a facilitator and does not provide medical services. You acknowledge and agree that you act as independent professionals responsible for the services that you provide. You are solely responsible for the quality, accuracy, and legality of the services you provide to patients. YLD does not supervise or control the medical decisions or advice you offer. The fact that YLD may assist you in the process of providing such services as a Practitioner shall not under any circumstances be construed as YLD providing such services, or any assumption of liability by us.

  3. YLD’s Liability: Unless otherwise agreed by us in writing, YLD does not accept any liability in relation to, nor does YLD warrant, represent, or guarantee that:

    1. The App is compatible with, or operational on, your computer, mobile device, or other methods of access;

    2. The App or our Services meet your requirements or expectations;

    3. Our App (including its content) or Services are free of errors, defects, malware, viruses, other harmful components or technical issues;

    4. The App (including its content) or Services are correct, up to date, and accurate

    5. Any information or data stored or accessible in the App or otherwise provided as part of the Services will be fully accurate, reliable, or free of error;

    6. The quality, suitability, availability, timeliness, completeness, effectiveness of the Services or the services provided by you as a Practitioner, including whether such services are risk-free, and any loss or damage resulting from the Services or your services or advice as a Practitioner, or the decisions, actions, or inactions of you as a Practitioners, including any determination that a patient is not suitable for telehealth services, or medical advice, treatment, or care provided by you as a Practitioners.

  4. No Medical Advice: The App and/or the Services does not provide medical advice, diagnoses, or treatment. All medical service and decisions are made solely by you as the Practitioner.

  5. Practitioner Responsibility: You are solely responsible for the quality, accuracy, and legality of the services that you provide as a Practitioner, including any delays, cancellations, or errors caused.

  6. Limitation of Liability: The use of the App and/or the Services is at your sole risk. To the fullest extent permitted by Relevant Laws and unless otherwise agreed by us in writing, YLD shall not be liable for any damages resulting from or in connection with the use of (or in ability to use) the App and/or the Services, including but not limited to any consequential, indirect, or incidental damages or any loss of profit or damages. Without prejudice to the foregoing and insofar as permitted under Relevant laws and unless otherwise agreed with you in writing, YLD’s aggregate liability shall in no event exceed the aggregate amount of fees paid by and/or due from the Patient to YLD for the App and/or Services which directly gave rise to any such liability, or any amount recoverable by us pursuant to any relevant insurance policies maintained by us (if any).

  1. Data Privacy
  1. In order to provide you with the Services through the App, YLD collects personal and medical data to facilitate consultations and improve services. This data is generally shared with Patients for the purpose of determining the appropriate medical services to be obtained by the Patient.

  2. The collection, use, storage, processing, and transfer of your data are subject to the Privacy Policy (as may be amended and updated from time to time at our sole discretion), and is incorporated by reference into these Terms.

  1. Communication
  1. Notifications: You acknowledge and agree that YLD may send appointment confirmations, reminders, and updates via the App, SMS, or email to you.

  2. Marketing Communication: You may receive promotional messages unless you opt out through the App settings.

  1. Governing Law and Dispute Resolution
  1. These Terms are governed by and construed in accordance with the laws of Hong Kong.

  2. Any disputes, actions, claims or causes of action arising out of or in connection with these Terms, the App, or our Services shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted. The seat of arbitration shall be in Hong Kong, and the number of arbitrators shall be one. The arbitration proceedings may be conducted in English or Chinese (Mandarin or Cantonese).

  1. Severability
  1. If any provision under these Terms is held to be void, invalid, illegal, or unenforceable in any respect under any Relevant Laws, the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired and shall continue in full force and effect.

  1. Amendment of Terms and Services
  1. Unless otherwise agreed in writing by us, YLD may, at its sole discretion, amend or update these Terms at any time by posting the updated Terms. Changes will automatically be effective upon posting, and may or may not be communicated. Continued use of the App after changes are made constitutes acceptance of the revised Terms.

  2. Unless otherwise agreed in writing by us, YLD may, at its sole discretion, modify, change, suspend, or discontinue the App and/or the Services, or impose limits on certain features or restrict your access to part or all of the App and/or the Services, without prior notice and without incurring any liability.

  3. You acknowledge and agree that it is your responsibility to review these Terms regularly and the continued use of the App and/or the Services after any amendment, whether or not reviewed by you, shall constitute your consent and acceptance to such changes.

  1. Assignment
  1. You may not assign or transfer any of your rights or obligations under these Terms to any person without our prior written approval. 

  2. YLD may assign and transfer any of our rights and obligations under these Terms to any party and will notify you of such assignment or transfer, if applicable. In the case of any transfer by YLD, we warrant that your rights under these Terms shall be maintained by the assignee.

  3. You have the right to terminate your use of the App and/or our Services if you do not agree with an assignment by us. The continued use of the App and/or our Services after any assignment by us shall constitute your consent and acceptance of such assignment.

  1. Termination
  1. By the Practitioner: You may delete your account at any time.

  2. By YLD: YLD reserves the right to terminate or suspend your account for non-compliance with these Terms or misuse of the App.

  3. Survival of Terms: Terms related to liability, governing law, and data privacy will survive account termination.

  1. Language

These Terms may be translated into a language other than the English language. Any such translation is provided solely for your convenience. In the event of inconsistency or ambiguity, the English text will prevail.
